YODLEE ECOSYSTEM STANDARDS


As a precondition to Yodlee being permitted to provide access to certain Data Sources on a Participant’s behalf, Yodlee is required to get the Participant’s written agreement to meet these Standards.

The capitalized terms used in these standards that are not defined in context are defined in section nine.

1. Privacy Notice & User Agreement

a. Privacy Notice. Participant shall follow a written privacy notice describing how it uses, collects, stores, handles and shares Data (“Notice”). Users must be able to access the Notice easily and Participant shall clearly and conspicuously reference or display the Notice during enrollment in the Participant Service (including, at a minimum via a link on the Participant Service internet homepage and within the Participant Service mobile application).

b. User Agreements. Before accessing a User’s Data Participant shall enter a written agreement with that User governing Participant’s access and use of the User’s Data (each a “User Agreement”).

c. User Agreement Terms. Participant shall cause each User Agreement to:

i. obtain User consent for Participant to use, collect, store, handle and share the User’s Data in accordance with Participant’s Notice; and

ii. include the following text in bold or capitalized font (modified as needed to include defined terms in the User Agreement without substantially changing its meaning):

You provide log-in credentials (“Credentials”) to your accounts at your own risk.

By using our service you agree that the data sources that maintain your accounts and any third parties that interact with your Credentials or account data in connection with our service are not liable for any loss, theft, compromise, or misuse whatsoever in connection with our services (including negligence), except to the extent such liability cannot be limited under applicable law.
Data sources make no warranties of any kind related to the data provided by our services--whether express, implied, statutory, or otherwise. Except for PDFs of official account documents, we retrieve on your behalf and provide to you without alteration, no data provided by our services is an official record of any of your accounts.

d. Disclosures. Participant shall cause the following information to be included in either its Notice or User Agreements:

i. A clear and complete description of Participant and its service providers’ access, use, storage, sharing, retention, and disposal of User Data and that Yodlee acts as Participant’s service provider for collection, use, storage, and handling of Users’ Data. The description must be sufficiently detailed to allow the User to give informed consent for those services and consistent with reasonable User expectations in light of the Participant Services.

ii. Participant shall prominently include the following statement (or a comparable statement as Yodlee may provide to Participants from time to time) regarding the Yodlee Commitment:

Our service is connected by Envestnet | Yodlee. When you request data from a source connected to our service, Yodlee collects that data and provides it to us. Yodlee acts on our behalf in this process, which means we share your data with Yodlee as one of our service providers. For more information on how Yodlee collects, uses, stores, and handles your data please see Envestnet | Yodlee’s FastLink Terms of Service.

e. Compliance With Law and Consistency. Participant shall cause its Notice to comply with applicable law and regulations and its User Agreements to be binding and effective. Participant shall ensure its Notice and User Agreements are consistent with Yodlee’s potential uses of Users’ Data as stated in the Yodlee Commitment and the Yodlee-Participant service agreement (unless otherwise required by applicable law or regulation, in which case Participant shall promptly notify Yodlee in writing).

2. Data Access and Use.

a. Scope of Access. Participant shall not access a User’s Data without User consent. Participant may access a User’s Data only to the extent reasonably necessary to provide the User with Participant Services. If Participant inadvertently gathers additional Data, Participant shall promptly notify Yodlee and Securely Delete the Data.

b. Permissible Use. Participants shall handle and use all Data in accordance with applicable laws and regulations, and shall not share, distribute, license, rent, or sell any Data (or information derived from Data) to any third-party without describing such activity in detail in a User Agreement or Notice.

c. Deleting Data. If a User submits to Participant a request for Participant to delete the User’s Data, Participant shall:

i. promptly Securely Delete the Data subject to any legal or regulatory requirements to maintain copies, and

ii. notify Yodlee. Upon Yodlee’s request Participant shall Securely Delete all Data that may be at risk from a Security Issue.

3. Security and Oversight.

a. Security Issues. Participant shall notify Yodlee in writing within 24 hours of becoming aware of any Security Issue. If Yodlee becomes aware of a Security Issue relating to Participant, Participant shall fix the Security Issue or implement a mutually agreed plan to fix the Security Issue within ten days of Yodlee’s written notice. Subject to reasonable confidentiality commitments from a Data Source, Yodlee may report to the Data Source Security Issues, investigations and remediation efforts related to potentially impacted accounts or Data at that Data Source.

b. Audits.

i. While Participant keeps a User’s Data, and for three years thereafter, Participant shall keep records sufficient for a third-party auditor to objectively verify Participant’s compliance with these Standards and Participant’s other commitments to Yodlee with respect to that Data.

ii. For so long as Participant receives Data from Yodlee, and for three years thereafter, Yodlee may by itself or through a third party, audit Participant’s policies, procedures, books and records, data, and systems to verify: (1) the security and integrity of Participant’s systems, policies, and procedures for storing and using Data and Credentials, and (2) Participant’s compliance with these Standards and Participant’s other commitments to Yodlee. Yodlee may audit Participant whether or not there is any indication Participant failed to follow these Standards.

iii. Subject to reasonable confidentiality commitments from the Data Source, Yodlee may provide to any Data Source from which Participant collected Data a summary of a Participant audit.

iv. If Yodlee discovers Participant is failing to follow these Standards, as a result of an audit or otherwise, Participant shall remedy each such deficiency within 30 days of Yodlee’s written notice.

c. Cooperation.

i. With Yodlee. Participant shall fully, accurately, and promptly respond to Yodlee’s questions about Participant’s Data and Credential use, storage, handling, and sharing. At Yodlee’s request Participant shall answer such questions in a writing certified by a corporate officer with responsibility for the question subject matter. In no event may Participant’s response take longer than 5 business days.

ii. With Data Sources. Participant shall cooperate with any Data Source from which Participant obtains Data to the extent reasonably requested in connection with any law enforcement, regulatory or judicial investigation, or other legal process relating to the Data Source or its affiliates; including by providing the Data Source all information in Participant’s possession that the Data Source may reasonably request in connection with such investigations.

4. Suspension of Services.

a. Grounds for Suspension. Yodlee may immediately suspend Participant’s access to Data, in whole or in part if:

i. Participant fails to follow these Standards or refuses to cooperate with Yodlee’s attempts to confirm Participant is following these Standards;

ii. Yodlee becomes aware of a Participant Security Issue, or

iii. Yodlee reasonably believes that accessing or Participant’s use of, Data may violate any law, regulation, court order or contractual obligation to a Data Source.

b. Notice and Reinstatement. Yodlee will use commercially reasonable efforts to give prior notice of any suspension, but may immediately suspend access without prior notice if appropriate under the circumstances to protect Users or Data Sources from harm. Yodlee will promptly restore Participant’s access after confirming that the condition giving rise to the suspension is cured (subject to any necessary Data Source approvals). Nothing in this section limits any right Yodlee may have to continue any suspension or terminate its applicable agreement with the Participant. While access to a Data Source is suspended, Participant shall not collect any Credentials for accounts which such Data Source. Yodlee may notify a Data Source of any condition permitting suspension or related circumstances if the condition relates to Data obtained from such Data Source (including the nature of such condition, whether access has been suspended, and the status of Participant’s efforts to cure the condition).

5. NO DATA SOURCE LIABILITY. DATA SOURCES MAKE NO WARRANTIES TO PARTICIPANTS OR USERS OF ANY KIND (WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE). DATA SOURCES PROVIDE ACCESS AT NO INCREMENTAL CHARGE TO PARTICIPANTS AND DATA SOURCES AND RELATED PARTIES WILL HAVE NO LIABILITY WHATSOEVER TO PARTICIPANTS OR USERS RELATING TO ACCESSING OR USING DATA. NO DATA SOURCE OR RELATED PARTY WILL BE LIABLE TO ANY PARTICIPANT OR USER FOR ANY EXPENSES, LOSSES, OR DAMAGES RELATING TO ANY PARTICIPANT’S ACCESS OR USE OF DATA, FOR ANY LOST PROFITS OR OTHER SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES, OR OTHERWISE IN EXCESS OF $100. THE LIMITATIONS IN THIS SECTION WILL APPLY TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND REGARDLESS OF THE FORM OF ACTION UNDER WHICH RECOVERY FOR ANY LOSS, DAMAGE, OR EXPENSE IS SOUGHT (INCLUDING NEGLIGENCE).

6. Data Source Trademarks. Yodlee is not granting in these Standards any license to use Data Source trade names, logos, trademarks, or service marks.

7. Third-Party Benefit. The parts of these Standards that refer to Data Sources are intended to benefit those Data Sources.

8. Modifications. Yodlee reserves the right to modify these Standards at any time. Yodlee will notify Participants of material changes by posting a notice on Yodlee’s website at least 30 days before the change takes effect.

9. Definitions. In these Standards the following definitions apply:
“Credentials” means login names, passwords, challenge answers, or other information relating to User identity verification.
“Data” means data Yodlee gathers from User accounts connected to a Participant Service via Yodlee services.
“Data Source” means a third-party information source where a User holds an account from which Yodlee retrieves information (for example: bank, broker, lender, or other financial service provider).
“Standards” means these ecosystem standards.
“Participant” means an entity that offers a service supported by the Yodlee data ecosystem.
“Participant Service” means a service that accesses or uses Data supplied via the Yodlee data ecosystem.
“Related Parties” means a Data Source’s affiliates, and their respective directors, officers, employees, contractors, agents, successors, and assigns.
“Securely Delete” means to delete using an industry standard method that ensures the deletion is permanent and information unrecoverable. For example, the then-current version of the National Institute for Standards and Technology Special Publication 800-88, “Guidelines for Media Sanitation” (or its successor).
“Security Issue” means any:
i. unauthorized or unlawful access, transmission, corruption, deletion, or use of any Data or Credentials;
ii. unauthorized access to systems storing, processing, or providing access to the same;
iii. Participant’s material failure to comply with its information security requirements under its agreements with Yodlee; or
iv. any reasonably suspected case of, or flaw in, a Participant’s policies, procedures, or systems reasonably likely to give rise to an incident described in the foregoing definition.
“User” means a natural or legal person that uses a Participant Service.
